DRM CRSHRS TERMS OF PARTICIPATION

Please READ carefully. By purchasing and registering for this service, the following Terms and Conditions (the “Terms”) are entered into by DRM CRSHRS (“Company”, “we”, or “us”) and You (“Client” or “You”), and You agree to the following terms stated herein. The Company and You may be referred to individually as a “Party” and collectively as the “Parties” in these Terms.

PROGRAM

Company agrees to provide the program titled, 'Brand Builder' with modular upgrades upon request for additional freelance services within agreed desired package (herein referred to as the “Program”) as outlined on the web page where You register, which includes:

• Customization of a website template provided by the Company

• A 1-hour brand strategy call if deemed necessary

• A 30-minute website strategy call

• A provided brand color palette, consisting of 4-6 colors, 2-3 fonts, and a brand vision.

• Customized desktop and mobile versions of your customized website template, including complete mobile and desktop optimization of the Home Page, About Page, Services Page, and Contact Page.

• Admission and access to the exclusive DRM CRSHRS community.

• Access to instructional videos to help aid and guide you through maintaining your website template.

FEES AND PAYMENT METHOD

You may choose between a single payment of $4,999 (due immediately and when paid in full) or 2 equal monthly payments of $2,449.50 If you select the payment plan, you must pay the initial payment today and then your selected payment method will be automatically charged the following payment 30 days later, for a total payment of $4,999. If you opt for monthly payments, you will remain responsible for those payments. You may not cancel or avoid these payments. In the event that any payment is not made, the Company shall immediately suspend your access to the Program and any of the promised features. Payments are processed via Stripe.

Client understands and agrees that they are financially responsible for all payments, whether paid in full or in a payment plan. If a payment is not submitted on time after our attempts to collect it, the remaining balance plus 30% will be sent to a collections agency of our choosing.

All personal information provided as part of the payment process may be collected by both the Company and its third-party payment processing providers. This includes, but is not limited to, name, email address, billing information, and credit card number. Please read our Privacy Policy regarding how we handle customer information.

Third-party payment processing providers may have privacy policies and terms and conditions that differ from ours. The Company has no liability for the independent policies of third-party payment processors.

We do not tolerate or accept chargebacks from the Client’s credit card company. If the Client needs to terminate this agreement prior to the Program, the Client forfeits any money already paid to secure their spot in the Company’s schedule. No refunds will be provided.

Client agrees to abide by these Terms and to pay Company’s invoices on time, acknowledging the late payment clause outlined below.

Due to the nature of the Program, there are no refunds for any service provided by the Company under this Program. If You elect for the payment plan, You hereby authorize the Company to charge your credit or debit card automatically according to the terms set forth in the Fees section above.

For recurring payments and outstanding invoices: If all payment methods we have on file for you are declined for payment of your monthly fee, you must provide a new payment method promptly, or your Program access will be terminated. If the Client has an unpaid invoice for more than 10 days, we hold the right to terminate the project and client relationship.

Website Templates by DRM CRSHRS Disclosure:

It is understood that “Made w/ Love by DRM CRSHRS” is to remain on the site for its lifetime to give credit to our design team. It must remain hyperlinked to drmcrshrs.com and should not be removed unless communicated and approved by the Company.

Independent Contractor Status:

It is expressly agreed that the Company is performing services as an Independent Contractor of the Client. The Company is neither an employee nor an agent of the Client. The Company agrees to pay all applicable taxes and comply with laws and regulations related to performance. The Company will have no authority to act on behalf of the Client.

Work Product and Proprietary Information:

It is understood that all deliverables produced under this Agreement become the property of the Client once the Client has paid all compensation due in full, including the entire website created in Framer. The Company retains the right to use the deliverables for marketing, promotional, social media, and/or educational purposes, provided that Client’s private data is protected.

Client authorizes the Company to use Client’s name, likeness, image, voice, and written word for promotional purposes.

Any design by the Company cannot be resold or redistributed without Company approval. The footer text "Made w/ Love by DRM CRSHRS" must remain on the website for five years unless otherwise agreed.

Confidentiality:

Confidential Information includes technical data, know-how, and business information disclosed by one party to another in writing, orally, or otherwise. The Company agrees to maintain confidentiality and take reasonable steps to protect it.

Non-Exclusivity:

This Agreement is non-exclusive. Both Parties may contract with third parties for similar services.

Assignment:

Neither Party may assign the rights or obligations under this Agreement without written consent from the other Party.

Notices:

Any notice required under this Agreement will be deemed given when sent via email to the Client's email on file and to the Company at support@drmcrshrs.com.

Termination:

This Agreement will terminate if the Company determines the relationship is not a good fit. No refunds will be given.

Entire Agreement:

This Agreement constitutes the entire understanding of the Parties regarding the subject matter and supersedes all prior agreements.

No Warranties:

Company’s services are provided “as is” without any warranties.

Client Cooperation:

Should the Company need Client cooperation in any legal matters, the Client agrees to provide necessary documentation and testimony.

Severability:

If any provision is deemed unenforceable, the remaining provisions will remain in effect.

Waiver:

Failure to exercise any right or remedy does not constitute a waiver of such rights.

Dispute Resolution:

This Agreement is governed by the laws of Oregon. Both Parties consent to jurisdiction in Oregon’s courts.

Deliverables Needed by Client Prior to Program:

The following materials must be provided by the Client before the Program:

1. Website template selection

2. Framer account on a paid plan

3. Domain purchase and setup

4. Testimonials, freebies, or lead magnets

5. Website copy for all pages (or optional upcharge for this)

6. External links for the website

7. Relevant Legal pages (Terms of Use, Policy, etc.)

8. Photos for the website design (may request Graphic Design)

Rescheduling and Cancellation Policy:

We allow one reschedule if done more than 24 hours in advance. For emergencies within 24 hours, please contact us.

Miscellaneous:

• Nothing designed by the Company can be resold or repurposed.

• It is the Client's responsibility to provide all content. Lack of content may delay the website launch.

• The VIP Day is a partnership, and both parties must collaborate to complete the project.

• The Company reserves the right to suspend work for unpaid invoices.
